These Terms of Service (“Terms”) govern access to and use of the websites, platforms, AI-powered phone agents, telephony services, analytics dashboards, integrations, and related tools and infrastructure (collectively, the “Services”) provided by Komyu AI, LLC, a Michigan limited liability company (“Komyu AI,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree, you may not access or use the Services.

These Terms are incorporated by reference into, and governed by, any Master Services Agreement (“MSA”), order form, proposal, or other written agreement between you and Komyu AI. In the event of a conflict, the MSA controls.


1. ABOUT KOMYU AI

Komyu AI provides AI-powered phone agents, conversational automation, call handling, intake, booking, data capture, telephony services, approved third-party integrations, analytics dashboards, and related tools designed to support real-world business operations (the “Services”).

The Services are provided to businesses only and are not intended for personal or consumer use.


2. NATURE OF THE SERVICES & AI DISCLOSURES

2.1 Artificial Intelligence Limitations

You acknowledge and agree that the Services utilize artificial intelligence systems that are probabilistic and non-deterministic in nature. As a result:

  • AI outputs may be inaccurate, incomplete, misleading, outdated, or fabricated

  • AI responses are not reviewed by humans in real time

  • Outputs depend on Client-provided data, approved configurations, prompts, workflows, third-party platforms, and model limitations

2.2 No Guarantee of Outcomes

Komyu AI makes no guarantees regarding:

  • Revenue, conversions, bookings, or sales

  • Lead quality or customer satisfaction

  • Business performance or operational outcomes

All Services are provided on a commercially reasonable efforts basis.


3. NO PROFESSIONAL, REGULATORY, OR EMERGENCY USE

The Services are not intended to provide, and must not be relied upon as:

  • Legal advice

  • Medical advice

  • Financial or investment advice

  • Regulatory or compliance advice

  • Emergency response or safety-critical services

You agree not to rely on AI-generated outputs for any of the foregoing purposes.


4. CLIENT RESPONSIBILITY & OVERSIGHT

You are solely responsible for:

  • Reviewing, approving, and maintaining all scripts, prompts, workflows, logic, and configurations

  • Ensuring the accuracy and legality of all business information provided

  • Monitoring AI interactions and outputs

  • Implementing appropriate escalation rules to human staff

  • Complying with all applicable laws and regulations

Komyu AI does not supervise, control, or direct how you use the Services in your business.


5. USE AT YOUR OWN RISK

To the maximum extent permitted by law, Komyu AI is not responsible for:

  • Incorrect, incomplete, or misleading AI responses

  • Missed, dropped, misrouted, or mishandled calls

  • Customer misunderstandings or reliance on AI outputs

  • Lost leads, revenue, data, or business opportunities

  • Errors caused by Client instructions or third-party platforms

You assume all risk associated with use of the Services and all interactions between AI systems and third parties.


6. THIRD-PARTY DEPENDENCIES

The Services rely on third-party providers, including but not limited to:

  • Telephony carriers

  • Cloud infrastructure providers

  • AI model providers

  • Analytics, monitoring, and integration partners

Komyu AI does not guarantee uninterrupted service and is not liable for outages, disruptions, or failures caused by third-party providers.


7. OWNERSHIP OF SYSTEMS, SOFTWARE & PHONE NUMBERS

All rights, title, and interest in and to the following are owned exclusively by Komyu AI:

  • All software, platforms, systems, models, and tooling

  • All workflows, prompts, logic, configurations, and architecture

  • All telephony infrastructure and phone numbers provisioned or used in connection with the Services

No ownership rights are transferred to Client.
Client receives only a limited, non-exclusive, non-transferable, revocable right to use the Services while they are made available.


8. ACCEPTABLE USE

You agree not to use the Services to:

  • Violate any law or regulation

  • Misrepresent your business or services

  • Engage in fraud, deception, or abuse

  • Infringe intellectual property or privacy rights

  • Transmit unlawful, harmful, or misleading content

  • Expose Komyu AI to legal, regulatory, or platform risk

Komyu AI reserves the right to suspend, restrict, or terminate access if misuse is detected or suspected.


9. SERVICE CONTROL, SUSPENSION & TERMINATION

Komyu AI may suspend, restrict, or terminate Services, in whole or in part, to:

  • Mitigate legal, technical, security, or platform risk

  • Respond to misuse or suspected misuse

  • Comply with carrier, vendor, or regulatory requirements

Where practicable, Komyu AI will provide reasonable notice. No refunds are owed for suspension or termination permitted under these Terms or the MSA.


10. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOMYU AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR RELIABILITY OF AI OUTPUTS


11. LIMITATION OF LIABILITY

11.1 No Consequential Damages

To the maximum extent permitted by law, Komyu AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including:

  • Lost profits

  • Lost data

  • Business interruption

  • Loss of goodwill


11.2 Liability Cap

Komyu AI’s total aggregate liability shall not exceed the subscription fees actually paid by Client for the Services during the thirty (30) days preceding the event giving rise to the claim.
One-time fees, setup fees, onboarding fees, implementation fees, and professional service fees are non-refundable and excluded.


12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Komyu AI from claims arising out of:

  • Client-provided or Client-approved content

  • Client misuse of the Services

  • Client failure to comply with applicable laws

  • Client-controlled disclosures, consents, or representations

This does not apply to claims arising solely from Komyu AI’s system design outside Client control.


13. CHANGES TO THESE TERMS

Komyu AI may update these Terms from time to time.
Continued use of the Services after updates constitutes acceptance of the revised Terms.


14. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.


15. ENTIRE AGREEMENT

These Terms, together with the applicable MSA and related agreements, constitute the entire agreement between the parties regarding the Services.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOMYU AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR RELIABILITY OF AI OUTPUTS


11. LIMITATION OF LIABILITY

11.1 No Consequential Damages

To the maximum extent permitted by law, Komyu AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including:

  • Lost profits

  • Lost data

  • Business interruption

  • Loss of goodwill


11.2 Liability Cap

Komyu AI’s total aggregate liability shall not exceed the subscription fees actually paid by Client for the Services during the thirty (30) days preceding the event giving rise to the claim.
One-time fees, setup fees, onboarding fees, implementation fees, and professional service fees are non-refundable and excluded.

  • Client-provided or Client-approved content

  • Client misuse of the Services

  • Client failure to comply with applicable laws

13. CHANGES TO THESE TERMS

Komyu AI may update these Terms from time to time.
